Any quotes or estimates, acceptance of quotes or artwork, all completed forms and any duly signed written correspondence between the Client and GFapparel.com and Zee's Apparel, LLC represent the agreement (hereinafter referred to as "the Agreement") between the Customer and GFapparel.com and Zee's Apparel, LLC .
Agreement may not be effected unless agreed to by both parties, reduced to writing and signed by the Customer and a duly authorized representative of GFapparel.com and Zee's Apparel, LLC ; All custom decorated orders are subject to approval of styles, quantities, availability and GFapparel.com and Zee's Apparel, LLC ability to meet scheduled deadlines.
ART PREPARATION CHARGES: Where you choose GFapparel.com and Zee's Apparel, LLC to render art services, a per-hour charge or itemized charge is made including typesetting, art reproduction, and camera services. Color separations are charged separately. We will estimate total charges prior to producing your order. Or, if you prefer, establish an art budget and we will work within your guidelines. Acceptance of such proofs via e-mail or fax by the Customer, or any employee of the Customer, will bind the Customer, and GFapparel.com and Zee's Apparel, LLC will not be liable for any errors contained. Materials furnished remain the property of the provider. Any requests for the return of originals, including discs, must be made within 10 days of completion of order. GFapparel.com and Zee's Apparel, LLC reserves the right to use any items designed and/or produced in future promotional pieces such as catalogs, fliers, websites, or any other promotional means. Unless faxed or email written request is received by Customer stating otherwise.
IMPRINT COLORS: All standard and pastel colors are available for screen-printing.
Custom colors and PMS colors for screen-printing are available. We will match colors as closely as possible, but due to the nature of ink pigments, dye colors, and fabric characteristics, we cannot guarantee exact colors or tint. Some ink matches are subject to surcharge.
DYE LOTS: Due to market conditions and mill variances, we cannot guarantee consistency of shades to match precisely from order-to-order and dye-lot to dye-lot.
OVERRUNS/UNDERRUNS: To maintain production efficiencies, we reserve the right to furnish 5% over-or-under quantities ordered. Orders within this guideline are considered complete. Actual quantity shipped will be invoiced. Exact quantities cannot be guaranteed!
CANCELLATIONS: All orders are considered "firm" when placed. No cancellations on finished merchandise are accepted. Cancellations made prior to production are permitted, subject to charges for artwork in progress, completed screens or custom digitizing, and return of merchandise acquired including all restocking fees and shipping costs incurred by GFapparel.com and Zee's Apparel, LLC . The Customer shall pay for any preliminary work that is produced at its request, whether experimentally or otherwise.
LAUNDERABILITY AND SHRINKAGE: Some shrinkage is unavoidable in all knitted garments. To minimize shrinkage, follow washing instructions on garment label. Does not use bleach on colored fabrics. Do not iron over imprints. Avoid harsh detergents.
SCREEN PREPARATION: Screens are the property of GFapparel.com and Zee's Apparel, LLC and will be maintained at our plant for our exclusive use in executing your orders. Screen charges are to cover the costs of preparing screens and recycling them for continued use. GFapparel.com and Zee's Apparel, LLC reserves the right to withhold production of any material it deems unsuitable or unlawful, in its sole discretion. GFapparel.com and Zee's Apparel, LLC reserves the right to edit, revise or reject any material it deems untruthful, objectionable, illegal or in conflict with fair business practices. The Customer remains liable for the cost of work produced in the event of GFapparel.com and Zee's Apparel, LLC exercising these rights.
WARRANTIES: There are no warranties beyond those listed on this page, nor are there any other warranties expressed or implied, including the warrant of merchantability and in no event shall GFapparel.com and Zee's Apparel, LLC be liable for any consequential or special damages. The Customer acknowledges that it does not rely on any representations made by GFapparel.com and Zee's Apparel, LLC in regard to its products and services or qualities thereof, leading up to this Agreement other than those contained in this Agreement. All specifications, prices, performance figures, advertisements, brochures and other technical data furnished by GFapparel.com and Zee's Apparel, LLC in respect of its products or services, whether orally or in writing, will not form part of the Agreement in any way unless agreed to in writing by GFapparel.com and Zee's Apparel, LLC . The Customer hereby indemnifies GFapparel.com and Zee's Apparel, LLC against any claims, costs and expenses arising out of the infringement of copyright, patent, trademark or design supplied by the Customer, or the printing of any illegal or defamatory material. Each party shall diligently protect the other's trade secrets and confidential information. GFapparel.com and Zee's Apparel, LLC Imprint's liability shall be limited to the stated sales price of any defective goods. We will not be liable for any consequential damages, such as profit loss etc.
And performance times quoted are estimates and are not binding to GFapparel.com and Zee's Apparel, LLC .
PRODUCTS LIABILITY: It is the sole responsibility of the Customer to determine that the products or services ordered by it are suitable for the purposes of intended use. GFapparel.com and Zee's Apparel, LLC gives no warranty, express or implied, concerning the suitability of the products supplied for any purposes whatsoever. Products are sold with no warranty against latent defects. All other guarantees, including common law guarantees, are hereby specifically excluded. Liability in this regard is restricted to the cost of repair or replacement of faulty products or services or the granting of a discount, at the sole discretion of GFapparel.com and Zee's Apparel, LLC shall not be required to work to tolerances closer than those applicable to the materials obtained by it in the ordinary course of trade, or supplied to it by the Customer. GFapparel.com and Zee's Apparel, LLC shall not be held liable for any variations in the standard, quality and performance of such materials. GFapparel.com and Zee's Apparel, LLC shall not be responsible for imperfections in the work due to defects in, or the unsuitability of, material or equipment not supplied by GFapparel.com and Zee's Apparel, LLC . Extra costs incurred through the use of defective materials or equipment supplied shall be for the Customer's account. The Customer agrees to pay all costs resulting from any acts, omissions or requests of the Customer including disbursements, suspension of work, modification of requirements, reprints, failure or delay in giving particular requisite to enable work to proceed on schedule, or requirements that work be completed earlier than previously agreed. GFapparel.com and Zee's Apparel, LLC shall not be responsible for the Customer's material wasted in the course of production. The Customer's property and property supplied to GFapparel.com and Zee's Apparel, LLC will be retained at the Customer's risk. GFapparel.com and Zee's Apparel, LLC shall not be liable for any damage arising from any misuse, abuse or neglect of products or services under any circumstances whatsoever.
We take great care to ensure that every garment is decorated exactly as you requested. However, from time to time, a garment may be damaged while being decorated. Ruined apparel is an unfortunate side effect of the decorating business. While we strive to limit the waste it is not possible to completely eliminate all. Our policy includes a 2% damaged goods/spoilage allowance. This disclaimer is intended to protect you and us from unexpected loss. If exact quantities are critical for your order then you must order extra garments with the initial order. We cannot easily reset up multiple color jobs to replace a couple of garments.Embroidered jobs we can easily run 1 or 2 garments if needed.
RETURNS & CLAIMS: No returns accepted without prior authorization. We CANNOT accept returns on decorated or washed garments under ANY circumstances. Returns due to customer error will be subject to a 25% restocking fee with a minimum fee of $8.00. Freight charges will NOT be refunded. All claims must be made within 48 hours of receipt of goods. All returns must be shipped freight prepaid. All claims for goods lost or damaged in transit must be made with the carriers. Our liability ceases upon shipment. The Customer shall return any defective moveable products to the premises of GFapparel.com and Zee's Apparel, LLC at the Customer's own cost and packed in the original or suitable packaging. GFapparel.com and Zee's Apparel, LLC must receive within 7 days written notice by fax or email any defect or issue with product received If GFapparel.com and Zee's Apparel, LLC agrees to engage a third party to transport products on the Customer's behalf, it does so on terms deemed fit by GFapparel.com and Zee's Apparel, LLC . The Customer indemnifies GFapparel.com and Zee's Apparel, LLC against any claims arising from such agreement. The risk of damage to, or destruction or theft of its products shall pass to the Customer on delivery of any order placed in terms of this Agreement.
PAYMENTS: We accept cash, corporate checks, VISA, MasterCard, and Discover cards. Invoicing is created on ship day including any shipping costs. Credit will be extended to colleges, and universities who provide good credit history. All payments set on terms are required to pay with check. Payment in full is required at the time the order.
All products supplied by GFapparel.com and Zee's Apparel, LLC remain the property of GFapparel.com and Zee's Apparel, LLC until such products have been fully paid for whether such products are attached to other property or not. The Customer agrees that the amount contained in a tax invoice issued by GFapparel.com and Zee's Apparel, LLC shall be due unconditionally: GFapparel.com and Zee's Apparel, LLC shall not be liable for any consequential damages including loss of profits or for any intellectual liability of any nature whatsoever. The Customer chooses its address for legal execution as its physical or business address or the physical addresses of any Director (in the case of a company), Member (in the case of a close corporation) or of the Owner(s) or Partner(s).The Customer undertakes to inform GFapparel.com and Zee's Apparel, LLC , in writing, within 7 days of any change of Director, Member, Shareholder, Owner or Partner or address, or 14 days prior to selling or alienating the Customer's business. Failure to do so will constitute a material breach of this Agreement. Upon receipt of such written notification, GFapparel.com and Zee's Apparel, LLC reserves the right, at its sole discretion, to withdraw any credit facility advanced to the Customer. The invalidity of any part of this Agreement shall not affect the validity of any other part. The Customer hereby consents that GFapparel.com and Zee's Apparel, LLC shall have the right to institute any legal action in either the Small Claims or Superior Court of the State of Illinois in Cook Country at its sole discretion. This Agreement and its interpretation is subject to Illinois Sate Law and the Customer consents to the exclusive jurisdiction to resolve any legal action and/or disputes of said agreement in the State of Illinois, in Cook Country involving litigation.
